Prönö has partnered with Uniarts Hub Pre-Incubator Program in the University of the Arts (Taideyliopisto).  This is a three-month pre-incubator initiative designed specifically for individuals in the arts and creative sectors who are contemplating starting a business, whether individually or as part of a team. It caters to those who already have a preliminary business idea or seek comprehensive information on the steps and options for establishing a company.

Starting at the beginning of each semester, both in spring and fall, the program offers participants a thorough overview of business operations within the arts and creative industries. It includes opportunities to meet and learn from experienced professionals in these fields through lectures, workshops, and personalized mentoring sessions. Prönö is here to offer a platform for the 1-to-1 mentoring sessions.

Demographics of Board Members

A notable finding from the study is that the average board member is a 56-year-old man from Finland. This demographic highlights the prevailing trends and areas needing improvement in board diversity.

Key Findings:

  • Women constitute 30% of board members.
  • 9.7% of chairpersons are women.
  • A significant majority, 77%, of board members are Finnish citizens.
  • Change is happening faster than in previous years

Why is Board Diversity Important?

Areas for Improvement:

Increasing female representation: Despite 30% of board members being women, this figure falls short of the ideal. With 38% of new board positions filled by women, there’s a positive trend, yet 6.5% of companies still have no female representation.

More female chairs are needed: The number of female chairpersons (currently 9.7%)  has been growing, but there is still room for growth.

International talent: Finnish companies should aim to include more international professionals on their boards to understand global markets and customers better. Currently, 78%, of board members are Finnish citizens.

Take a Broad View on Diversity

When aiming to increase gender diversity, it’s important to identify and challenge organizational practices and assumptions that create barriers for both women and minorities to join the board. What assumptions are there around gender, age, ethnicity, educational background, sexual orientation, culture, language, religion? By taking a broad view on diversity, through an intersectional lens, the pool of candidates increases significantly. Women are not just women, but have multiple other identities.

Set Clear Diversity Targets

Setting clear diversity targets ensures diversity is kept on the agenda and creates accountability. Diversity targets can be set for different stages of the nomination process: from the candidate shortlist to the final board composition.

Increasing diversity by setting diversity targets does not mean lowering the bar. Diversity targets lead to widening the candidate pool and thereby increase the probability of finding the best talent.

Evaluate Objectively

Unconscious biases interfere with the ability to evaluate objectively in many different ways. Make sure that everyone involved in the evaluation process has an understanding of bias and its impact. Ensure that practices and tools that eliminate or minimize the impact of bias are used. In order to allow for an objective evaluation process, it is also of utmost importance that all involved actors have a shared and clear understanding of the selection criteria, as well as the priority order for the different criteria.

Foster an Inclusive Culture

Identities and status impact group dynamics: who is listened to, who is interrupted, and who is seen to have expertise? When new board members from underrepresented groups join the board, it is important to evaluate the existing group norms, challenge any non-inclusive norms, and create new inclusive practices. Foster a culture where every board member’s ideas, knowledge, and perspectives are equally welcomed and where all feel respected and valued.

Leadership and independence:

The most important thing a board member can offer is leadership with an outside perspective. It is the cornerstone of board member efficacy, characterized by a blend of independence and a strong moral compass. Personal integrity, along with ethical and professional conduct, are non-negotiable traits that define a board member’s capacity to guide and influence positively.

Strategic and big picture thinking:

The ability to discern the big picture,  to get to the heart of an issue quickly by asking pertinent questions and to engage in strategic thinking is imperative. Board members must navigate complex business landscapes, envisioning long-term strategies that align with the organisation’s mission and the broader market environment.

Creativity and innovation:

In today’s fast-paced environment, creativity is a currency. Board members must bring fresh perspectives and innovative approaches to problem-solving, driving the organisation forward through transformative thinking and action.

Outward focus and representation:

Board members act as ambassadors, representing the organisation’s brand and values. An outward focus, coupled with the potential to serve as an effective spokesperson, enables board members to forge meaningful connections with stakeholders and the community at large.

Energy and commitment:

The enthusiasm with which board members approach their role is telling of their commitment. An energetic and dedicated board member can be a catalyst for motivation, driving the collective board and the organisation to achieve its goals.

Communication:

Effective communication is a twofold pathway—listening and conveying. Board members must excel at both, being attentive listeners and articulate communicators. They must also be willing to challenge ideas constructively, fostering a culture of open dialogue and critical thinking.

Continuous learning:

The best board members are perpetual learners. They stay abreast of industry trends, governance best practices, and emerging risks, ensuring their knowledge is current and relevant.

Financial and numeracy skills:

A solid understanding of financial statements, budgeting, and financial planning is essential. Board members with strong financial acuity can provide insightful oversight and ensure fiscal responsibility.

Governance and compliance:

Knowledge of governance structures and compliance regulations is a must. Board members should ensure that the organisation adheres to legal standards and ethical practices.

Risk management:

Identifying, assessing, and mitigating risks are key responsibilities. Proficiency in risk management protects the organisation from potential pitfalls and enhances its resilience.

Technology, digital transformation and AI

With digital transformation reshaping industries, board members must be proficient in technology and AI. They should understand how digital tools and innovations can be leveraged for strategic advantage.

Industry insight and foresight:

Deep industry knowledge, coupled with foresight, is invaluable. Board members must be able to anticipate market shifts and guide the organisation accordingly.

Business insight:

A thorough understanding of commercial business management, sales, and marketing is advantageous. This insight informs strategic decisions that can stimulate growth and enhance profitability.

Human resources and communication:

Talent management and effective internal communication are vital. Board members must understand the value of human capital and advocate for practices that support a productive and positive organisational culture.

ESG and cybersecurity:

Expertise in environmental, social, and governance (ESG) factors, along with cybersecurity, are increasingly important. Board members should be proactive in addressing these critical areas that impact organisational sustainability and security.

Global perspective:

With businesses operating on a global scale, international experience is a significant asset. Board members with a global outlook can navigate cross-cultural complexities and bring a wealth of diverse experiences to the table.

The role of a board member is multifaceted, demanding a blend of traditional skills and modern competencies. As guardians of corporate integrity and strategic direction, board members must embody these attributes to drive their organisations towards a prosperous and sustainable future.

There is no one specific type of person or set of qualifications that makes an individual the best fit for a board member role. Different organisations have different needs and priorities.  It is all about people and team work within the board and cooperation with the CEO management team and other stakeholders.  A diverse team is always best prepared for future challenges.

Fondia, a legal services company with roots in Finland, has set a benchmark in the industry by emphasizing diversity, inclusion, and constant self-improvement. In particular, the firm has demonstrated remarkable commitment to gender representation on its board and management teams, standing out in an often heavily male-dominated industry. 

Fondia, publicly traded on the First North marketplace, operates in four countries (Finland, Sweden, Estonia, and Lithuania), employing a team of 200 professionals, including 130 lawyers. The company’s board comprises six members, of whom three are women. The group management team has extensive female representation, with four women among its five members, whereas on the Finnish management team there are three women and four men.

But how did Fondia get so many women in management positions? 

For starters, it is good to know that it is highly unusual for a legal company in Finland to have a board comprising 50% women. A 2023 study by Prönö shows this is uncommon among all listed companies in Finland. Despite this, Fondia has managed to accomplish meaningful gender diversity, and several reasons exist. Let’s dive deeper into how Fondia has been able to do so. 

Values are the driving force

Fondia has five key values: “Dare to Create,” “Law Made Smart,” “Give and Receive,” and “My Place to Work” combined with “Pride and Passion.” These values inspire the teams to be authentic, diverse, and growth-oriented. Fondians take pride in their professionalism and uniqueness. 

Wilma Laukkanen, COO of Fondia Oyj, says that these values are at the company’s core and are reflected in the culture, which is actively shaped by employees. This is also confirmed by internal surveys and external certificates.

Expanding diversity in the hiring practices

The company’s hiring process is also incredibly open, welcoming professionals with diverse backgrounds, ages, and skill sets.Fondia’s  team includes employees ranging in age from their twenties to over sixty and consists of people of various nationalities.

“Culture is very important to us. Fondia employs a broad range of criteria and follows a “no asshole policy,” fostering an open dialogue and transparency by involving multiple team members in the recruitment process. Every individual gets to meet at least five team members to minimize the possible effects of individual bias and foster a culture of mutual understanding and trust,” explains Wilma Laukkanen. 

No hierarchical barriers, no ceiling glasses

Fondia’s approach involves a flat hierarchy, nurturing a learning culture without rigid hierarchical barriers. The company is committed to creating an environment that encourages employee growth and development, especially horizontally. Fondia has thirteen legal competence teams focusing on diverse regulatory changes and emphasizing strong knowledge of different industries. Fondia encourages internal training programs and mentoring. People are also encouraged to shift between roles, for example, between specialist and leadership positions, in order to grow even more. 

Understanding diversity in a broader context 

At Fondia, diversity is seen as more than gender, age, or nationality. It’s in the company’s DNA. It’s about combining skills and blending legal, business, and technical expertise for a multidisciplinary approach. 

According to Harri Savolainen, CEO of Fondia Oyj, a multidisciplinary strategy is essential in providing comprehensive service to clients. Savolainen explains that “Fondia’s role extends beyond mere legal assistance; our professionals add value to businesses through their business mindset, industry knowledge, and broad understanding of various interconnected and evolving fields such as sanctions, ESG, AI, and data.”

Measure and improve as you go 

For over two decades, Fondia has been at the forefront of diversity and inclusion, consistently working towards enhancing its workplace practices. The company conducts anonymous surveys to monitor progress in these areas, emphasizing its commitment to improvement and growth. So far, these efforts have focused on building a great inclusive workplace; next year, the management team plans to take their DE&I measurements and actions to a more detailed level.

“We are never ready. We are continuously improving,” explains Wilma Laukkanen.

It’s a family & a business

Family and business are also integral parts of Fondia’s approach. The company offers equal maternity and paternity leave support, provides a ‘baby bonus’ for those staying on unpaid parental leaves, and encourages shared family care responsibilities and support with child care for sick children, if wished.
